2 · Terms

1. Parties. This agreement is between BODEN Summit LLC, a Colorado limited liability company, 800 Beauprez Avenue, Lafayette, Colorado 80026 (“Producer”), and the sponsor identified below (“Sponsor”), for the JanuaryAI Project Summit held January 18–20, 2027 in the Boulder / Denver area (the “Event”).

2. Payment. Sponsor agrees to pay the amount initialed above in full within thirty (30) days of execution, or on the schedule stated in an invoice signed by both parties. Benefits are activated on receipt of funds.

3. Benefits. Producer will deliver the benefits described for the selected level on the reverse side of this page. Substitutions of comparable or greater value may be made where a venue, vendor, or schedule change requires it.

4. No influence. Sponsorship confers no editorial, governance, or agenda authority. Sponsor receives no vote, no board seat, no veto over any working group, and no right to review or amend the Charter. Program content is determined solely by the Commons and Producer.

5. Disclosure. Sponsor consents to public disclosure of its name and contribution amount in Event materials, the published budget, and the attendance record.

6. Marks. Each party grants the other a limited, non-exclusive, non-transferable license to use its name and logo solely to fulfill this agreement. All other rights are reserved. Neither party may imply endorsement beyond the sponsorship described here.

7. Cancellation. If Sponsor cancels more than ninety (90) days before the Event, fifty percent (50%) is refundable. Within ninety (90) days, amounts paid are non-refundable but may be credited to the following year’s Summit at Producer’s discretion.

8. Force majeure. If the Event is canceled, postponed, or moved online for reasons beyond Producer’s reasonable control, Producer will apply the sponsorship to the rescheduled or virtual Event. No further liability arises from such a change.

9. Independent parties. Nothing here creates a partnership, joint venture, agency, or employment relationship. Neither party may bind the other.

10. Indemnity & limitation. Each party indemnifies the other against claims arising from its own negligence or willful misconduct. Producer’s total liability under this agreement is limited to the amount actually paid by Sponsor. Neither party is liable for indirect or consequential damages.

11. Governing law. This agreement is governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Venue for any dispute lies in the state courts of Boulder County, Colorado.

12. Entire agreement. This page and its reverse are the entire agreement between the parties and supersede prior discussions. Amendments must be in writing and signed by both parties. Signatures delivered electronically or by scan are binding.
